1. PARTIES AND SCOPE

1.1. These Terms of Service ("Terms") govern the relationship between DITUS 7 Ltd., registered under company number 208717721, with registered address at Bulgaria, Plovdiv province, Belashtitsa, ul. Demokratsiya 18B ("Provider", "we", "us"), and any individual or legal entity that registers and uses the Invoico7 platform ("User", "you").

1.2. Invoico7 is a cloud-based (SaaS) platform for managing invoices, proformas, expenses, clients, suppliers, and inventory.

1.3. By registering, the User confirms they have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.

2. DEFINITIONS

  • Account: A profile created upon registration, bound to a specific tenant
  • Tenant: The organisation/person whose account isolates data within the multi-tenant architecture
  • Free Plan: A package with limited features available at no cost
  • Paid Plan: A subscription package with extended features available for a fee
  • User Data: All data entered by the User into the platform
  • Service: The totality of features accessible through the Invoico7 platform

3. REGISTRATION AND ACCOUNT

3.1. Registration is available to individuals aged 18 or over, and to legal entities represented by authorised persons.

3.2. The User must provide accurate, current, and complete information upon registration and keep it up to date.

3.3. The Account is personal and non-transferable. The User is fully responsible for all actions performed using their credentials.

3.4. Upon suspecting unauthorised access, the User must immediately notify the Provider at support [at] invoico7.com.

3.5. The Provider reserves the right to refuse registration or terminate an account without notice in case of a breach of these Terms or applicable law.

4. PLANS AND PAYMENT

4.1. Free Plan (Freemium)

The Free Plan includes a limited number of documents, users, and features, as detailed on the pricing page. The Provider may modify the Free Plan limitations with 30 days' notice.

4.2. Paid Plans

4.2.1. Paid Plans are activated upon successful payment. The subscription auto-renews (monthly or annually) unless cancelled before the renewal date.

4.2.2. All prices are in EUR and exclude VAT unless explicitly stated otherwise.

4.2.3. An invoice is automatically generated for each payment and is accessible within the User's account.

4.3. Refund Policy

4.3.1. Annual subscriptions – The User is entitled to a full refund within 14 days of payment, provided paid features have not been substantially used.

4.3.2. Monthly subscriptions – No partial refunds are provided for unused portions of a billing period.

4.3.3. The Free Plan involves no monetary obligations and is not subject to refunds.

4.4. Price Changes

The Provider may change prices with 30 days' written notice (email). If the User does not accept the new prices, they may cancel the subscription before the changes take effect.

5. USER RIGHTS AND OBLIGATIONS

5.1. The User has the right to:

  • use the Service in accordance with their chosen plan;
  • export their own data at any time;
  • request technical support.

5.2. The User agrees not to:

  • use the platform for illegal purposes or in breach of applicable law;
  • enter false, misleading, or fraudulent information into documents;
  • reverse engineer, decompile, or attempt to extract the source code;
  • sell, resell, or sublicense access to the platform;
  • perform actions that overload the infrastructure (e.g. DDoS attacks, mass automated requests);
  • infringe the intellectual property rights of the Provider or third parties;
  • introduce malicious code, viruses, or scripts.

5.3. The User bears full responsibility for the accuracy of financial data entered, its compliance with applicable Bulgarian accounting and tax legislation, and the lawfulness of documents issued.

Important: Invoico7 is a document creation tool. The platform does not provide accounting, tax, or legal advice. The User is solely responsible for compliance with applicable legislation.

6. PROVIDER RIGHTS AND OBLIGATIONS

6.1. The Provider commits to:

  • maintaining Service availability at 99% uptime on a monthly basis (excluding scheduled maintenance);
  • providing advance notice of planned interruptions;
  • maintaining backups for a minimum of 7 days;
  • responding to technical support requests within 1 business day (Paid Plans) / 5 business days (Free Plan).

6.2. The Provider reserves the right to:

  • update, improve, or remove Service features;
  • interrupt access for scheduled maintenance with prior notice;
  • suspend accounts upon breach of these Terms.

7. INTELLECTUAL PROPERTY

7.1. The Invoico7 platform, including its source code, design, algorithms, trademarks, and documentation, is the exclusive property of the Provider and is protected by intellectual property law.

7.2. These Terms do not transfer any intellectual property rights to the User. Only a limited, revocable, non-transferable licence to use the Service is granted.

7.3. User Data remains the property of the User. The Provider makes no claim over it, except to the extent necessary to provide the Service.

8. DATA PROTECTION

8.1. The Provider processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national data protection legislation.

8.2. Full information on data processed, purposes, and data subjects' rights is contained in the Privacy Policy, available at https://invoico7.com/en/privacy-policy, which forms an integral part of these Terms.

8.3. The User, acting as a data controller (within the meaning of GDPR), is responsible for the lawfulness of their clients' data entered into the platform. The Provider acts as a data processor and processes such data solely on the User's instructions.

8.4. Upon request, the Provider will enter into a Data Processing Agreement (DPA) with the User.

9. CONFIDENTIALITY AND SECURITY

9.1. Each tenant's data is isolated at the account_id level and is not accessible to other users.

9.2. The Provider applies industry-standard security measures: encryption in transit (TLS), password hashing, and two-factor authentication (2FA).

9.3. In the event of a confirmed security breach affecting User data, the Provider will notify the User within 72 hours by email.

10. LIMITATION OF LIABILITY

10.1. The Service is provided "as-is". The Provider does not warrant that it will meet all specific User requirements or be continuously available.

10.2. The Provider is not liable for:

  • loss of revenue, data, or business opportunities arising from Service unavailability;
  • errors in documents issued by the User;
  • actions of third parties (payment operators, hosting providers);
  • force majeure events.

10.3. Where liability is established, the maximum compensation is limited to the amount paid by the User in the 3 months preceding the event giving rise to the claim.

10.4. Nothing in these Terms excludes liability for wilful misconduct or gross negligence on the part of the Provider.

11. TERMINATION

11.1. Termination by User: The User may close their account at any time from profile settings. For Paid Plans, access continues until the end of the paid period.

11.2. Termination by Provider:

  • With 30 days' notice – upon a decision to discontinue the Service;
  • Immediately – upon serious breach of these Terms, fraud, or violation of law.

11.3. Consequences: Upon termination, the User has 30 days to export their data. After this period, data will be permanently deleted.

12. AMENDMENTS TO TERMS

12.1. The Provider may amend these Terms by notifying Users 30 days in advance via email or in-platform notification.

12.2. If the User continues to use the Service after the amendments take effect, they are deemed to have accepted them. Otherwise, they may terminate their account without penalty.

13. GOVERNING LAW AND DISPUTES

13.1. These Terms are governed by the laws of the Republic of Bulgaria.

13.2. The parties agree to first attempt to resolve disputes amicably. If unsuccessful, the dispute shall be referred to the competent Bulgarian court at the Provider's registered seat.

13.3. Users who are consumers may contact the Consumer Protection Commission and the EU Online Dispute Resolution platform.

14. MISCELLANEOUS

14.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.2. Section headings are for convenience only and do not affect interpretation.

14.3. These Terms constitute the entire agreement between the parties with respect to the Service.
